Terms of Sale

Quotations

Quotations are valid for 30 days unless stated otherwise and are subject to final confirmation of specification, quantity and delivery schedule. Published prices are indicative and exclude duties, taxes and any local charges at destination unless DDP terms are expressly quoted.

Orders

An order becomes binding when we issue a proforma invoice and receive your deposit or an acceptable letter of credit. Specifications, packaging artwork and certification requirements must be approved in writing before production begins. Changes requested after production starts may affect price and lead time.

Payment

• Standard terms are 30% deposit by T/T with the balance against the bill of lading copy.
• Letters of credit at sight are accepted; all bank charges outside China are for the buyer’s account.
• Samples may be paid by PayPal, Western Union or T/T.
• Late payment may delay shipment and incur interest at 1% per month.

Delivery and risk

Delivery dates are estimates given in good faith and confirmed on the proforma invoice. Under EXW, FOB and CIF terms, risk passes in accordance with Incoterms 2020. Under DDP terms, risk passes on delivery to the agreed address. Delays caused by force majeure, port congestion, carrier shortages or government action are not our responsibility, but we will keep you informed and re-plan with you.

Inspection and claims

Please inspect the goods on arrival and notify us of any shortage, damage or specification deviation within 14 days of receipt, with photographs and the packing list reference. Claims made after this period may not be accepted.

Warranty

We stand behind the goods we supply. Defects arising from materials or workmanship must be reported within 30 days of arrival with photos and the packing list, and we will arrange replacement, credit or refund at our option. This does not cover normal wear, damage in transit after handover, or damage caused by misuse, incorrect storage or unauthorised modification.

Intellectual property

Where you supply designs, artwork or trademarks, you confirm that you hold the rights to them and you indemnify us against third-party claims. Tooling paid for by you remains your property and will not be used for other customers without written consent.

Limitation of liability

Our total liability for any claim is limited to the value of the goods concerned. We are not liable for loss of profit, loss of contract, downtime or consequential loss of any kind.

Governing law

These terms are governed by the laws of the People’s Republic of China. Disputes will first be addressed through good-faith negotiation and, if unresolved, submitted to the competent court in Zhongshan, Guangdong. Where the United Nations Convention on Contracts for the International Sale of Goods applies, it is excluded.
